1. Acceptance of these Terms

These Terms of Use (the "Terms") govern access to and use of the website https://www.geneticapampeana.com.br/, its subdomains, microsites and restricted areas (together, the "Website"), operated by Genética Pampeana Ltda., registered under Brazilian corporate taxpayer number (CNPJ) 64.096.073/0001-01, with head office at Mata Roma, State of Maranhão, Brazil, (the "Company").

By accessing or using the Website, you declare that you have read, understood and fully agree to these Terms. If you do not agree with any provision, please do not use the Website.

These Terms must be read together with our Privacy Policy, which forms an integral part of this document.

2. Purpose and nature of the Website

The Website is institutional and informational in nature. Through it we make available information about the Company, our soybean variety portfolio, technical sowing recommendations, our partner network, and our contact channels.

The Website is not an online store. Seed of the varieties presented here is sold exclusively through authorised commercial channels and an authorised distribution network, under a separate contract.

3. Nature of the technical information

This is the most important section of this document. Please read it carefully.

The technical information published on the Website — including maturity group, thousand-seed weight, cycle, plant population, sowing windows, regions of adaptation and the strengths of each variety — consists of general recommendations, derived from research and agricultural trials conducted by the Company.

You acknowledge and agree that:

  • The performance of a variety varies according to the soil and climate conditions of each region and season, the management practices adopted, soil fertility, the incidence of pests and diseases, and other factors outside the Company's control. The cycle indicated refers to the region of adaptation and may differ in practice.
  • The published recommendations do not replace technical advice from a qualified agronomist, nor do they dispense with an agronomic prescription where one is required.
  • It is the grower's sole responsibility to observe the soybean host-free period rules (vazio sanitário) and any other determinations issued by the agricultural authorities of their state, whose calendars vary by federative unit and by season.
  • The information is subject to update without prior notice as new research results become available.

The Company accepts no responsibility for planting, management or investment decisions taken solely on the basis of the Website's content, without proper technical assessment of local conditions.

4. Registration and restricted area

Certain areas of the Website may require prior registration. By registering, you undertake to:

  • provide truthful, accurate and complete information, and keep it up to date;
  • keep your password and access credentials confidential;
  • not assign, share or transfer your account to third parties;
  • notify the Company immediately of any unauthorised use of your account.

You are solely responsible for all activity carried out using your credentials. The Company may suspend or cancel access at any time and without prior notice in the event of a breach of these Terms, evidence of fraud, or improper use.

You may request cancellation of your account at any time through our service channels. The processing of data after cancellation follows the provisions of the Privacy Policy.

5. Rules of conduct

When using the Website, you undertake not to:

  • carry out any act contrary to applicable law, morality or public decency;
  • use the Website for unlawful or fraudulent purposes, or in a way that may cause harm to the Company or to third parties;
  • attempt to gain unauthorised access to systems, servers, accounts or data;
  • introduce viruses, malicious code or any element capable of impairing the operation of the Website;
  • carry out automated data extraction (scraping, crawling or similar) without the Company's express written authorisation;
  • reproduce, copy, distribute or commercially exploit any content of the Website without authorisation;
  • reverse engineer, decompile or otherwise attempt to obtain the Website's source code;
  • use the Company's trademarks, business name or visual identity in a way that suggests a non-existent connection, partnership or endorsement.

6. Intellectual property

6.1. Website content

All content on the Website — text, images, photographs, illustrations, video, tables, layout, source code, trademarks, logos and domain names — belongs to the Company or to third parties that have licensed it to the Company, and is protected by Brazilian Federal Law No. 9,610/1998 (Copyright), Federal Law No. 9,279/1996 (Industrial Property) and other applicable rules.

Access to the Website grants no licence or right of use over that content. Reproduction, in whole or in part, without the Company's prior written authorisation is prohibited.

6.2. Protected varieties

The varieties presented on the Website are owned by the Company, protected under Brazilian Federal Law No. 9,456/1997 (the Plant Variety Protection Law) and registered with the National Register of Cultivars (RNC) of the Brazilian Ministry of Agriculture and Livestock.

Under applicable law, the following constitute infringement of protection rights and subject the infringer to the applicable civil and criminal penalties:

  • producing seed of a protected variety for commercial purposes without the Company's authorisation;
  • selling, offering for sale, donating or exchanging seed of a protected variety, even free of charge, without the Company's authorisation;
  • multiplying seed on behalf of third parties, in any form.

Growers who save seed for their own use must strictly observe the limits and conditions of article 10 of Federal Law No. 9,456/1997, as well as Federal Law No. 10,711/2003 (the National Seed and Seedling System) and its implementing regulations.

Some of our varieties incorporate third-party technologies subject to their own licensing agreements. Use of those technologies is governed by the conditions established by the respective holders.

7. Links and third-party content

The Website may contain links to third-party websites, applications or services, offered solely for convenience. The Company does not control and is not responsible for the content, privacy practices or availability of those resources. You access them at your own risk, subject to each third party's terms and policies.

8. Availability and limitation of liability

The Company makes reasonable efforts to keep the Website available and working correctly, but does not guarantee uninterrupted or error-free availability. The Website may be temporarily unavailable for maintenance, updates or for technical reasons beyond the Company's control.

To the fullest extent permitted by applicable law, the Company is not liable for:

  • unavailability, slowness or failure to access the Website;
  • damage arising from failures in the user's connection, equipment or software;
  • loss of data, loss of profits or indirect damage arising from the use of, or inability to use, the Website;
  • third-party content, products or services accessed through the Website;
  • technical, agronomic or commercial decisions taken on the basis of the Website's informational content, as set out in section 3.

Nothing in these Terms limits the rights afforded to consumers by Brazilian Federal Law No. 8,078/1990 (the Consumer Protection Code), where applicable to the relationship.

9. Privacy and data protection

The processing of personal data through the Website is governed by our Privacy Policy, available on the Website, prepared in accordance with Federal Law No. 13,709/2018 (LGPD).

10. Changes to these Terms

The Company may amend these Terms at any time by publishing the updated version on this page, indicating the date of the latest revision. Continued use of the Website after publication constitutes acceptance of the new version. We recommend that you consult this document periodically.

11. General provisions

Any tolerance of a breach of these Terms shall not constitute novation or waiver of the right to require compliance.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

These Terms do not create any corporate, employment, agency or partnership relationship between the Company and the user.

12. Governing law and jurisdiction

These Terms are governed by Brazilian law. The courts of the District of Mata Roma, State of Maranhão, Brazil, shall have exclusive jurisdiction over any dispute arising from them, to the exclusion of any other, however privileged — save, where applicable, for the jurisdiction of the consumer's place of domicile.
